Banking and Finance Law
The Firm's activity in the area of Banking and Finance Law / Project Financing mainly consists in providing assistance to clients in:
- acquiring companies under an LBO scheme;
- financing or refinancing assets;
- financing projects and PPP operations (notably in relation to hospitals and road infrastructures).
Regarding the operations listed above, our Firm mainly advises investment funds and private or public operators.
Concerning acquisitions with leverage (LBOs, OBOs, BIMBOs, etc.), the Firm advises its clients in the negotiation and the drafting of terms and conditions of loans, such as senior and subordinated debts and subordination agreements in particular.
Concerning the financing or refinancing of assets, our Firm drafts and negotiates either loans or lease agreements depending on the context. Our Firm also reviews ancillary agreements (such as maintenance and refurbishing). It is particularly involved in the financing of real estate assets and aircrafts.
Regarding project financing (for PPPs in particular), the Firm assists its clients in the negotiation and drafting of banking term sheets, loan agreements, and subordinated debt if necessary.
The Firm is also involved in the negotiation and drafting of accompanying guarantees to finance agreements (notably first demand guarantees, delegations, performance guarantees, guarantees of completion, pledges).
